The Legal and Ethics Administrator is responsible
for assisting with Corporate Secretarial functions and Board Operations, Law Firm Management, Contract support, providing support to litigation and M&A projects, and otherwise supporting Contracts Compliance and Legal leaders.
Job Description:
- Managing law firms by reviewing and approving invoices; maintaining and publishing the database of approved law firms to be used; monitoring external legal spend, providing high level analysis to department leaders to inform insourcing vs outsourcing strategy for Legal; dealing with retention letters, and communicating to law firms regarding H1 and H2 invoices and accruals
- Preparing or reviewing contracts, amendments, and NDA’s upon request Maintaining database for company guarantees; change of control; etc.
- Administer company ethics compliance program: Oversee and manage cases reported on the Helpline system, including communicating with reporters; assigning investigators, ensuring investigations are timely progressed; reviewing initial investigation reports; generating reports on open cases; identifying case trends for purposes of identifying risk, mitigation and training; tracking action items from cases until closure. Where possible/practical, perform investigations.
- Oversee administration of ethics and compliance training including liaising with training providers, reviewing training content, coordinating training of other compliance functions, and monitoring completion. Publish Compliance Updates.
- Supporting the Corporate Secretary function by preparing resolutions and Unanimous Written Consents, maintaining information on company officers and directors, managing the relationship with Corporate Services Corporation (invoices), etc. and serving as the POC for questions on the company; updating Legal Entity charts
- Preparing periodic activity reports for the Contracts, Legal, & Compliance Department
- Preparation of and management of broker Powers of Attorneys
- Manage the bi-annual process for legal entity compliance
- Maintain the database of IP (Patents and Trademarks)
- Support M&A activity, as needed
- Manage Contracts, Legal, and Compliance content on company intranet
- Advise on business courtesies, conflicts of interest and other ethics matters; track gifts and hospitality
Job Requirements:
MINIMUM:
- Bachelors’ Degree from an accredited college or university
- A minimum of 3+ years of experience in law firm or corporate environment, to include legal research, corporate secretarial experience, drafting and preparation of NDAs and other contractual documents, preparation of legal memoranda and preparation of corporate policies.
- This position requires access to technology, materials, software or hardware that is controlled by US export laws. In order to be eligible for this position, you must be a US person under US export laws or, eligible for approval for a U.S. Government export license. A US Person includes a US citizen, lawful Permanent Resident, refugee or asylee.
PREFERRED:
- Paralegal certificate and/or certification from an internationally recognized compliance body
- Familiarity with FAR, DFARS, ITAR, EAR, FCPA, Bribery Act, Business Ethics
- Excellent written and oral communication skills in order to prepare concise recommendations, reports, and briefings to senior level company officials
- Professional ethics and compliance certification from a recognized accreditation authority, e.g. International Compliance Association (ICA), Compliance Certification Board (CCB).
- Proficient with Microsoft Office suite (minimum: Word, Excel, and PowerPoint; Access is a plus)
